In a recent securities filing, Calavo Growers, Inc., a California-based distributor of avocados and avocado-related products, revealed that the U.S. Department of Justice closed a Foreign Corrupt Practices Act investigation into the company’s “operations in Mexico.” According to the Form Q-10 filed on September 9, 2025, the company was “officially notified” on September 2, 2025, that the DOJ had closed the investigation.
In its 2024 annual report, Calavo had disclosed that its Board of Directors had established a Special Committee to investigate, with the help of outside counsel and forensic accountants, “potential issues under the FCPA” in Mexico. In the same report, Calavo stated that it had voluntarily disclosed this investigation to the Securities and Exchange Commission and the DOJ, and that it “intend[ed] to fully cooperate” with each investigation.
Calavo’s most recent Form 10-Q did not discuss the status of the SEC’s investigation.
