SEC charges former Vital Farms controller with insider trading

The U.S. Securities and Exchange Commission recently announced that it has filed insider trading charges against Lloyd Anderson Wilson, a Georgia-based certified public accountant and former employee of Vital Farms, Inc., a publicly traded company that markets and distributes eggs, butter, and other food products. Wilson is accused of trading in the company’s stock based on confidential information he obtained while serving as Vital Farms’ corporate controller. He held that position from November 2021 to March 2023, and it allegedly gave him access to material nonpublic information about the company’s financial results and earnings. According to the SEC, Wilson bought Vital Farms securities on three occasions (in November 2022, March 2023, and May 2023), each one day before the company was scheduled to announce earnings and make its periodic filings with the Commission. Wilson allegedly made more than $21,000 in profits from the trades.

The SEC’s complaint, filed on September 24, 2026, in the U.S. District Court for the Northern District of Georgia, charges Wilson with violating the antifraud provisions of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. In a proposed settlement filed the same day, Wilson consented to the entry of a final judgment against him, subject to the court’s approval. Without admitting the SEC’s allegations, he agreed to be permanently enjoined from further violations of the federal securities laws. The judgment would also bar him from serving as an officer or director of a public company for five years and would require him to pay $21,524.97 in disgorgement, $4,845.92 in prejudgment interest, and a civil penalty of $21,524.97. Separately, Wilson agreed to an SEC administrative order that suspends him from appearing or practicing before the Commission as an accountant, with the right to apply for reinstatement after five years.
