SEC closes Calavo FCPA investigation a few months after DOJ ended its inquiry

In a recent securities filing, California-based avocado distributor Calavo Growers revealed that the U.S. Securities and Exchange Commission had closed its investigation into the company.  According to a Form 8-K filed on December 22, 2025, Calavo received a letter from the SEC that same day stating that the SEC had concluded its investigation and did not “intend to recommend an enforcement action” against the company.

In its 2024 Annual Report, Calavo had disclosed that its Board of Directors had formed a Special Committee to investigate, with the assistance of external legal counsel and external accountants, possible violations of the Foreign Corrupt Practices Act (“FCPA”) related to Calavo’s “operations in Mexico.”  In the same filing, Calavo reported that it had voluntarily disclosed the internal investigation to the SEC and the U.S. Department of Justice and fully intended to cooperate with each investigation.  In a Form 10-Q filed in September 2025, Calavo revealed that the company was “officially notified” on September 2, 2025 that the DOJ had closed its FCPA inquiry.
