A concentration as defined above is only notifiable if the participating companies reach certain turnover thresholds, or if the consideration for the transaction exceeds a certain value:

  1. The undertakings concerned must have generated a total of EUR 500 million in sales worldwide, and
  2. at least one company has generated more than EUR 50 million in sales in Germany, while
  3. another undertaking concerned has generated more than EUR 17.5 million in sales in Germany.

 

If the target company did not generate more than EUR 17.5 million in sales within Germany, the FCO may nevertheless review the concentration if (i) the turnover thresholds under (a) and (b) above are met, (ii) the value of the consideration for the acquisition exceeds EUR 400 million, and (iii) the target company has significant operations in Germany.
